Deal room

A deal room is a secure, access-controlled environment where the documents and disclosures for a transaction are shared with vetted parties during diligence.

The deal room — often called a virtual data room — is where diligence actually happens. Buyers, lawyers, and accountants work through contracts, financials, and disclosures organized against a data room index. Access is granted per party, activity is logged, and the advisor controls what is visible and when.
