Data room index

A data room index is the structured table of contents that organizes every document in a diligence deal room so parties can navigate disclosures logically.

The index is the spine of the deal room. It groups documents into standard categories — corporate, financial, legal, commercial, HR — so a buyer's diligence team can work systematically and the advisor can track what has been reviewed. A well-structured index shortens diligence and signals a well-prepared seller.

Getting the index right is partly a matter of exit readiness: companies that maintain clean, indexed records long before a process starts move faster when one does. For investment banks, the index is where confidentiality-first design meets plain information architecture — the same discipline that makes any complex site navigable.
