CIM (Confidential Information Memorandum)

A CIM is the detailed marketing document a sell-side advisor prepares to present a company to qualified buyers once they have signed an NDA.

The CIM is the workhorse of a sell-side process. It carries the business overview, financials, growth thesis, and management background that a serious buyer needs before submitting an indication of interest. It sits downstream of the shorter, anonymized teaser and is released only after an NDA workflow has cleared.

Increasingly the static PDF is being supplemented by a CIM microsite — a permissioned, trackable web environment that lets advisors see which buyers actually engaged. For M&A advisors running competitive processes, that engagement data is a live read on buyer interest. The document itself stays confidential; the presentation layer is what modern deal marketing has started to rethink.
