Buy-side refers to advisory work performed on behalf of an acquirer — sourcing targets, evaluating them, and negotiating a purchase.
Buy-side mandates flip the process. Instead of marketing a company for sale, the advisor helps a strategic acquirer or financial sponsor find and win the right target, often through a proprietary search that never touches a broad buyer list. The work rewards sector depth and a credible thesis over polished marketing collateral.
It is the counterpart to the sell-side, and many boutiques run both.
